Terms of Use

DEFINITION OF TERMS

“Agreement” means these Terms of Use.

“Access Fee” means the monthly fee (excluding any taxes) payable by You in accordance with the fee schedule set out on the Proposal (which Beppo may change from time to time on notice to You).

“Beppo” means Beppo Inc., a Philippine corporation registered with the Securities and Exchange Commission, and all current and future global subsidiaries of Beppo.

“Confidential Information” includes all information exchanged between the parties to this Agreement, whether in writing, electronically, or orally, including the Service but does not include information that is, or becomes, publicly available other than through unauthorized disclosure by the other party.

“Data” means any data inputted by You or with Your authority into the Website.

“Intellectual Property Right” means any patent, trademark, service mark, copyright, moral right, right in a design, know-how, and any other intellectual or industrial property rights, anywhere in the world whether or not registered.

“Service” means the mobile app that is used for recording transactions or automated bookkeeping using artificial intelligence (AI) and machine learning, and related payment services.

“Website” means the Internet site at the domain https://beppo.com/ or any other site operated by Beppo.

“Subscriber” means the person who registers to use the Service, and, where the context permits, includes any entity on whose behalf that person registers to use the Service. 

“You” meaning the Subscriber who availed of the services.

AGREEMENT TO THESE TERMS

By signing up to use Beppo’s Services, you agree to comply with and be legally bound by this Agreement, as revised from time to time. If you do not agree to any of the terms set forth in this Agreement, or any subsequent modification to the Agreement, you may not access or use any of Beppo’s Services.

We may amend or modify this Agreement by posting on Beppo’s website, mobile application, or emailing you the revised Agreement, and the revised Agreement shall be effective at such time. We may (a) modify or discontinue any portion of the Beppo Services, and (b) suspend or terminate your access to the Beppo Services, at any time, and from time to time, without notice to you in certain, limited circumstances described herein. You agree that we shall not be liable to you or any third party for any modification or termination of the Beppo Services, or suspension or termination of your access to the Beppo Services, except to the extent otherwise expressly set forth herein.

By using Beppo services, you are instructing us to share your data across our platform for eligibility verification, and other legitimate purposes described in our Privacy Policy, consistent with applicable law. This data may include credit information and other information we obtain from third parties. Beppo will not share your data without your explicit and informed consent, as required by law.

To access and/or use the Platform, you acknowledge and agree to the terms and conditions of this agreement (“Agreement”), which include:

Beppo’s Privacy Policy
The current version of the terms set out; and
Any additional provisions and conditions provided separately to you for your use of the Platform, which may include terms and conditions from third parties (which we refer to as “Additional Terms”)
You are at least 18 years of age;
You are capable of forming a binding contract with Beppo; and
You are not a person who is prohibited from using the Platform under the laws of the Philippines or any other applicable jurisdiction.

You also agree with the Customer Terms of Finverse, which is the third-party partner of Beppo for its bank integration. Customer Terms must be: (a) presented to End Users via online disclosure, (b) accepted electronically, (c) and be accepted in an auditable manner that complies with applicable electronic signature laws. Customer Terms must allow the Customer to comply with all requirements of this Agreement.

SERVICE

The Service is a mobile application that is available through iOS and Android subscriptions. It features a smart cash book for business and personal money, automated budgets, a simplified tax projection tool with computation and filing, related payment services, and a curated community for freelancers.

Depending on your country of residence, you may not be able to use all the functions of the Service. It is your responsibility to follow those rules and laws in your country of residence and/or the country from which you access the Services. As long as you agree to and comply with these Terms of Use, Beppo grants you the personal, non-exclusive, non-transferable, non-sublicensable, and limited right to enter and use the Site and the Service.

Limitations on Payment-Related Services. Beppo may delay an order if the customer has not provided legally required personal information if it reasonably suspects that the customer is in violation of this Agreement, or if additional personally identifying information is necessary to establish the identity of the customer (“KYC”). Until the completion of such verification procedures, customers may experience delayed processing of related payment services. Beppo will designate any such delayed transaction as “pending,” and funds will not be available until the pending transaction is completed. Beppo reserves the right to refuse to process, cancel, or reverse any customer transaction (i) as required by law, (ii) in response to a facially valid subpoena, court order, or other government order, or (iii) if reasonably suspects that the transaction is erroneous, or is in violation of this Agreement. You are also responsible for maintaining the confidentiality of your account information, including your password. IF THERE IS SUSPICIOUS ACTIVITY RELATED TO YOUR ACCOUNT, WE MAY, BUT ARE NOT OBLIGATED TO, REQUEST ADDITIONAL INFORMATION FROM YOU, INCLUDING AUTHENTICATING DOCUMENTS, AND TO FREEZE ANY TRANSACTIONS PENDING OUR REVIEW. YOU ARE OBLIGATED TO COMPLY WITH THESE SECURITY REQUESTS OR ACCEPT TERMINATION OF YOUR ACCOUNT. YOU ARE REQUIRED TO NOTIFY BEPPO IMMEDIATELY OF ANY UNAUTHORISED USE OF YOUR ACCOUNT OR PASSWORD, OR ANY OTHER BREACH OF SECURITY, BY EMAIL TO DPO@BEPPO.COM ANY USER WHO VIOLATES THESE RULES MAY BE TERMINATED, AND THEREAFTER HELD LIABLE FOR LOSSES INCURRED BY BEPPO OR ANY USER OF THE SITE.

BEPPO RESERVES THE RIGHT TO REFUSE TO PROCESS, OR TO CANCEL OR REVERSE, ANY TRANSACTIONS, EVEN AFTER FUNDS HAVE BEEN DEBITED FROM YOUR ACCOUNT(S). IF BEPPO SUSPECTS THE TRANSACTION INVOLVES (OR HAS A HIGH RISK OF INVOLVEMENT IN) MONEY LAUNDERING, TERRORIST FINANCING, FRAUD, OR ANY OTHER TYPE OF FINANCIAL CRIME; IN RESPONSE TO A SUBPOENA, COURT ORDER, OR OTHER GOVERNMENT ORDER; IF BEPPO REASONABLY SUSPECTS THAT THE TRANSACTION IS ERRONEOUS; OR IF BEPPO SUSPECTS THE TRANSACTION BEPPO WILL REVERSE THE TRANSACTION. IN THE CASES OF DIGITAL CURRENCY TRANSACTIONS, WE ARE UNDER NO OBLIGATION TO ALLOW YOU TO REINSTATE A PURCHASE OR SALE ORDER AT THE SAME PRICE OR ON THE SAME TERMS AS THE CANCELLED TRANSACTION.

Beppo will make reasonable efforts to ensure that payments are processed in a timely manner within our advertised processing times. But Beppo makes no representations or warranties regarding the amount of time needed to complete processing which is dependent upon many factors outside of our control.

We may suspend your access to Beppo Services in accordance with the suspension and termination terms of this Agreement. Suspension or termination shall not affect the payment of fees or other amounts you owe to Beppo. In the event that your Beppo is suspended or terminated, we will immediately cancel all transactions associated with your account, and bar further transactions until resolution or account cancellation.

USE OF SOFTWARE

Beppo grants You the right to access and use the Service via its mobile application with the particular features available to You according to Your subscription type. This right is non-exclusive, non-transferable, and limited by and subject to this Agreement. You acknowledge and agree that your access and use of the Service shall be subject to the Terms of Use, any applicable written agreement, or any other applicable laws.

You further acknowledge that the submitted tax forms were accomplished through generally accepted accounting methods and computed as such. Ultimately, however, it is still your responsibility to review the data processed via optical character recognition (OCR). In this connection, you shall defend Beppo and hold its officers, employees, and contractors free and harmless from any and all claims, injuries, damages, losses, or suits including attorney’s fees, arising out of or in connection with the performance of this Agreement.

No Warranty. We do not represent that Beppo and/or the Beppo Services will be available without interruption. Although we will strive to provide you with continuous operations, we do not guarantee continuous access or that there will be no delays, failures, errors, omissions, or loss of transmitted information, nor do we guarantee that any order will be executed, accepted, recorded, or remain open. YOU FURTHER ACKNOWLEDGE THAT INFORMATION YOU STORE OR TRANSFER THROUGH OUR SERVICES MAY BECOME IRRETRIEVABLY LOST OR CORRUPTED OR TEMPORARILY UNAVAILABLE DUE TO A VARIETY OF CAUSES, INCLUDING SOFTWARE FAILURES, PROTOCOL CHANGES BY THIRD-PARTY PROVIDERS, INTERNET OUTAGES, FORCE MAJEURE EVENTS, OR OTHER DISASTERS INCLUDING THIRD-PARTY DDOS ATTACKS, SECURITY BREACH, SCHEDULED OR UNSCHEDULED MAINTENANCE, OR OTHER CAUSES EITHER WITHIN OR OUTSIDE OUR CONTROL. YOU ARE SOLELY RESPONSIBLE FOR BACKING UP AND MAINTAINING DUPLICATE COPIES OF ANY INFORMATION YOU STORE OR TRANSFER THROUGH OUR SERVICES.

By engaging the services of Beppo, you expressly consent to the use of any personal information, sensitive or otherwise, for purposes of facilitating compliance with the requirements of the Philippine Bureau of Internal Revenue (BIR), consistent with the provisions of Republic Act No. 10173 otherwise known as the “Data Privacy Act of 2012”. You also understand that you alone supply all the necessary information in accordance with the requirements needed and Beppo merely submits the same for processing pursuant to the E-Filing requirement. You are also aware that upon submission of the accomplished documents, it automatically becomes a public document, the production, and use of which shall be governed by existing statutes.

Prohibited Businesses And Prohibited Use

The following categories of businesses, business practices, and sale items are barred from accessing the Services (“Prohibited Businesses”). By opening a Beppo account, you confirm that you will not use the Services in connection with the following businesses, activities, practices, or items:

Operating as an unlicensed payment, money transmitter, money service, payment service provider, electronic money, or any other financial Services business which requires licensing;
Counterfeit products or any product or Service that infringes upon the copyright, trademark, or trade secrets of any third party;
Stolen goods;
Narcotics, controlled substances, prescription and pharmaceutical services, drug paraphernalia, or any substances designed to mimic illegal drugs;
Prostitution or illegal escort services
Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same;
Funding any of the items included on this Prohibited Businesses list;
Extortion, blackmail, or efforts to induce unearned payments;
Unlicensed sale of firearms and certain weapons;
Engaging in deceptive marketing practices; or
any business that violates any law, statute, ordinance, or administrative regulation.

You may not use Beppo’s Services to engage in the following categories of activity (“Prohibited Use”). By opening an account with Beppo, you confirm that you will not use your account to do any of the following:

Violate or assist any party in violating any law, statute, ordinance, regulation or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections);
Partake in a transaction that involves the proceeds of any unlawful activity;
Defraud or attempt to defraud Beppo or other Beppo users;
Infringe upon Beppo’s or any third party’s copyright, patent, trademark, or intellectual property rights;
Provide false, inaccurate, or misleading information;
Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interferes with, intercepts, or expropriate any system, data, or information;
Interfere with another individual’s or entity’s access to or use of any of the Beppo Services;
Defame, abuse, harass, stalk, threaten, or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity, and intellectual property) of others;
Publish, distribute or disseminate any unlawful material or information;
Transmit or upload any material to the Beppo Site that contains viruses, Trojan horses, worms, or any other harmful or deleterious programs;
Harvest or otherwise collect information from the Beppo’s Site about others, including without limitation email addresses, without proper consent;
Act as a payment intermediary or aggregator or otherwise resell any of the Services, unless expressly authorized by Beppo in writing;
Transfer any rights granted to you under this Agreement;
Use the Beppo Account information of another party to access or use the Beppo Site, except in the case of specific merchants and/or applications that are specifically authorized by a user to access such user’s Beppo Account and information;
Otherwise attempt to gain unauthorized access to Beppo’s system, other Beppo accounts, computer systems, or networks connected to Beppo’s applications, through password mining or any other means;
Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy, or any other proprietary right under the law;
Take any action that Beppo deems as circumventing Beppo controls, including, but not limited to, opening multiple Beppo Accounts or abusing promotions which Beppo may offer from time to time;
US Residents are prohibited from using Beppo for money transmission or to conduct any other financial activity requiring licensure or covered by regulations governing financial services.

MODIFICATIONS

The provisions of this Agreement may be modified at any time. The notifications for these changes will be posted through the mobile application, on our website, or through other platforms we currently implement. It is important that you review this Agreement whenever we modify it because your continued use of the Service indicates your agreement to the modifications. We may modify, suspend or discontinue the Service at any time. You agree that we will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

In some cases, you may need to accept changes to this Agreement to continue using the application. If you do not agree to the changes, you may stop using the mobile app or terminate your account.

ACCOUNT REGISTRATION

To access most features of the Service, you must register for an account. When you register for an account, you may be required to provide us with some information about yourself, such as your name, email address, or other contact information. You agree that the information you provide to us is accurate, complete, and not misleading and that you will keep it accurate and up to date at all times. When you register, you will be asked to create a password. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account. If you believe that your account is no longer secure, then you should immediately notify us at dpo@beppo.com ; You agree to notify Beppo immediately if you become aware of any unauthorized use of the Services or any other breach of security regarding the Services. Beppo will not be liable for any loss or damage arising from your failure to protect your account or user data.

PAYMENT TERMS

Some features of the Service may require you to pay fees upon registering for the applicable subscription. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. All fees are in Philippine Peso (₱) and are non-refundable unless otherwise specifically provided for in these Terms. Fees vary based on the plan, with different pricing schemes.

PRICE

Beppo reserves the right to determine the pricing for the Service. The pricing information will be published and kept up to date through the website. We highly encourage you to check our pricing page periodically for current pricing information. If you cancel your subscription, you may forego your current price. If you reactivate at a later date, please check the website for our current pricing. Beppo may change the fees for any feature of the Service. Beppo, at its sole discretion, may make promotional offers with different features and different pricing to any of its users. These promotional offers, unless made to you, will not apply to your offer or these Terms. Quotes provided for our Service are subject to change at any time.

PAYMENTS/BILLINGS

Beppo payments enable You to make payments through the Beppo platform. Once the transaction has been made within the Beppo mobile application, You will be prompted by a notification that presents a selection of e-Payment options. You will have several options for payments (e.g. electronic money, credit, and debit card). By using Beppo payments, you agree with the following special terms as well as with the general Terms of Use. The posting of payments may vary depending on the payment option You choose. You will be informed if a particular payment option is posted instantly, at the end of the day, or the next day. You will be notified on the payment screen of the relevant cut-off for a specific tax return.

To optimize your experience and avoid inconvenience, we recommend You use the Beppo payments several days before deadlines. Beppo has the right to establish security features on the use of Beppo payments, such as but not limited to limitations on the number of tries, required 3D Secure or Vault features on card schemes and other features that will secure Your use of Beppo payments. You further agree not to circumvent, disable, or otherwise interfere with security-related features of Beppo payments, including those that prevent or restrict the use or copying of any content, material, or information available on or through the Services, as well as those that enforce limitations on the use of the Services. Once you confirm the transaction or authorize Beppo to proceed with the payment transaction, you cannot cancel nor reverse such transaction. The payment partners of Beppo shall proceed to debit your account and once the money or fund has been transferred, neither Beppo nor its payment partners can reverse or deduct such account without the proper court order. All fees and charges imposed by Beppo, its bank, and payment partners are non-refundable.

Beppo, its banks, and payment partners reserve the right, at its sole discretion but without obligation, to set limitations to and charge fees for the use of the Beppo payments, at any time. Beppo, its banks, and payment partners reserve the right, at its sole discretion and under no obligation, to change the applicable fees and charges levied for the use of Beppo payments, at any time and with prior written notice to you sixty (60) days prior to the effective date of change in fees/charges. Beppo payments are powered by its banks, payment partners, and other third-party services and resources (collectively, “Third Party Services”). You acknowledge and agree that we are not responsible or liable for: the availability or accuracy, appropriateness, completeness, or non-infringement of such Third-Party Services; or the content, products, or services available on or through such Third-Party Services. The integration of such Third-Party Services does not imply any endorsement by Beppo of such Third-Party Services or the content, products, or services available therefrom. Third-Party Services are provided on an “as is, where is” basis and Beppo makes no representation or warranties whatsoever about any service, content, and/or any other resources provided by the Third Party.

If you grant express permission to a Third Party Service to connect to your Beppo account, either through the third party’s product or through Beppo, you acknowledge that granting permission to a third party to take specific actions on your behalf does not relieve you of any of your responsibilities under this Agreement. Further, you acknowledge and agree that you will not hold Beppo responsible for, and will indemnify Beppo from, any liability arising from the actions or inactions of this third party in connection with the permissions you grant. You may change or remove these permissions at any time from the Account Settings page.

ISSUANCE OF OFFICIAL RECEIPT

Official receipts (OR) will only be issued upon request and should be requested within five (5) days of the transaction.

INDEMNIFICATIONS

You shall not hold Beppo responsible or liable for any loss or damage which You may incur or suffer directly or indirectly arising out of or in connection with Beppo payments due to any reason whatsoever including but not limited to breakdown or malfunction of the computer, its terminal connection lines, data processing system or transmission line whether or not belonging to Beppo or any circumstances beyond Beppo’s control. The act of keying in of the password for the purposes of authorizing a payment, unlocking for internet transactions, or payment made through our bank and payment partner’s application, platform or portal, or channel shall be sufficient evidence that the payment made has been authorized, validated, and cannot be disputed by You. Once the transaction has been authorized and consummated, Beppo shall not be held liable for any undelivered goods and non-performance of services, defects, damages, and after-sales services of such goods and/or services, any error in the amount keyed-in or entered, and/or any other dispute between the You and the BIR arising from such payment.

LIMITATION OF LIABILITY

The payment processing made through the Beppo application may take a few days to process. In lieu of this, the deadline for payments is set to a certain date. Failure to comply within the said deadline will automatically result in having to file your own transactions. Thus, Beppo cannot be held responsible for Your non-payment or delay in processing.

BILLINGS

Beppo offers different kinds of plans available for subscription. These are namely the free plan, in which everything you can access on the app is free, and the next two are the standard and premium plans — wherein you pay a subscription fee for the paid features of the app. For more information regarding the features of each plan, please refer to the Beppo app. A paying subscriber will then be billed according to the plan the user has availed.

A subscriber may request for an official receipt (OR) reflecting their Beppo subscription on or before the 5th day of the following month.

TAX FILING SERVICES

The tax filing services for Beppo are powered by JuanTax, a Ten Elleven Manila Inc. company. Hence, Beppo is not liable for any API issues that JuanTax may have. Once you avail of the DIY or assisted tax filing, you also agree to the Terms of Use and Privacy Policies of JuanTax. In the tax filing services, the subscribers provide the information, and they will also be the ones to approve it. If there are no tax dues, then Beppo will automatically file and pay for their clients on their behalf.

SUBSCRIPTION

When users subscribe to the Beppo app, it is automatically assumed that they are subscribing for the current period.

DEADLINES

The deadline to enter all your transactions for Beppo is ten (10) calendar days after the quarter has closed. Beppo implements an internal deadline for tax filing services which is different from the deadlines set by JuanTax and the Bureau of Internal Revenue (BIR). This is done to ensure that the filings and/or payments will be made on time. Thus, the interval between the deadline of Beppo and the BIR is the time where we process your returns for your approval.

AMENDMENTS

If there are amendments that need to be made, these will be billed separately by Beppo. If the user is using the free plan, he has to upgrade to a higher plan to make these amendments.

ASSISTED TAX FILING

Beppo will assume that the user’s latest tax return is correct and accurate; thus, it will process based on the latest tax return provided by the user. The responsibility of making sure that these returns are correct and will be borne by the user and not the Company or its employees.

LIVE SUPPORT

The Beppo app is equipped with the live support feature — this is where users can inquire to our tax advisors and they will be tended to immediately. The live support is available in the app until the deadline of the return. And thus, it is your responsibility to ensure that you are subscribed to the current quarter.

TAXES

It is your responsibility to determine which tax rates will apply — if any (e.g. 8%, graduated income tax rate). It is your responsibility to collect, report, and remit the correct tax to the appropriate tax authority. Beppo is not responsible for determining whether taxes apply to your transaction, or for collecting, reporting, or remitting any taxes arising from any transaction.

We are not responsible for any tax payments paid through our third-party payment partners such as JuanTax.

BOOKKEEPING

USER RESPONSIBILITY

As the user can input transactions in the cashbook and upload official receipts (OR), there is a high possibility that transactions will be duplicated. Hence, it is the user’s responsibility to make sure that the transactions and documents they upload are correct and not duplicated.

ARTIFICIAL INTELLIGENCE

Automatic Commission on Audit (COA) recommendation; at the end of the day, it’s up to them to classify those accounts properly.

INVOICING

SENDING OF INVOICES

This feature enables the subscriber to receive a copy of the invoices through SMS, Viber, etc. The SMS option will entail network charges that Beppo no longer controls.

INVOICE REMINDERS

As of present, invoice reminders are not yet available for use; although it is under development and will be released in due time.

RECEIVING PAYMENTS FROM CUSTOMERS

Only paid plans are eligible to access this feature. All subscribers must enable this feature and they would have to undergo KYC. Should the KYC be rendered incomplete or suspicious, Beppo reserves the right to reject them.

SCHEDULE

Weekly payouts are generated every Monday and Thursday; these are transactions that were cleared for payout by 5 PM on Mondays and Thursdays. This payout will then be processed after 5 PM on Monday and Thursday.

For transparency and record-keeping purposes, you will be receiving an email from connect@beppo.com that contains the amount, beneficiary bank, and beneficiary bank account name.

Due to interbank transfer and clearing processes, it may take 2-5 banking days for your payout to reflect in your bank account, depending on how fast your bank can process the payout. There may be unexpected circumstances beyond our control that may cause delays in the release. Rest assured that payouts will still be done once the issue is resolved.

It is possible that a payout would already be reflected in your bank account prior to it changing status in your dashboard. It’s best to double-check your bank account when expecting a payout.

*Note that if the payout is supposed to be released on a holiday, it will be processed on the following business day. (i.e. if Monday or Thursday is a holiday, the payouts will be processed on Tuesday or Friday)

INVOICING WITH PAYMENTS

The goal of Beppo is to make invoicing easier. Through the Beppo mobile application, the user can send an invoice in different currencies and receive the payment. In the add an invoice page, the user has to enter the following details:

Contact to send the invoice to
Description (optional)
Transaction date

As the invoices are entered by the user on the app, it is their responsibility to ensure that the details they enter are correct and accurate. Upon the submission of the invoice, Beppo will then go ahead and send the invoice to the assigned recipient. With the use of the invoicing feature, Beppo and its payment partners are authorized to charge convenience fees to the user. For the complete fee structure, please see the table below. The user agrees that the fees shall be subtracted from the invoice amount upon disbursement.

INVOICING WITH PAYMENTS IN US DOLLARS ($)

The minimum amount for USD invoicing is $10.
The settlement for payments made in US Dollars (USD) has a maximum processing time of seven (7) business days.
It will also follow the same terms and conditions, as well as the disbursement schedule of Mondays and Thursdays with that of the payments made in the Philippine Peso (PHP).
The spot rate that will be used in converting these transactions into Philippine Peso will be the rate on the day we disburse the money to your account.

APPLICATION DOWNTIMES

It is a common occurrence that applications and certain software will experience unexpected and scheduled downtimes. This may be due to a number of different reasons such as system maintenance, upgrades, and other technological matters. COMMUNITY

Beppo encourages its subscribers to post, comment, and interact with other freelancers using the application. The community within the app serves as a platform for communication and sharing ideas with one another. Thus, the contributions made by other subscribers do not reflect the views and opinions of the founders and developers of the application; as these are solely at their personal discretion. We take no responsibility for and we do not expressly or implicitly endorse, support, or guarantee the completeness, truthfulness, accuracy, or reliability of any of their content.

LICENSING

Beppo is duly registered with the Bangko Sentral ng Pilipinas (BSP) as an Operator of Payment Systems, and such activity is subject to the rules and regulations of the Bangko Sentral ng Pilipinas and the Anti-Money Laundering Council (AMLC). As a regulated business, Beppo is required to comply with the Anti-Money Laundering Act, which requires Beppo to verify the identity of its users, maintain records of currency transactions for up to five years and report certain covered and suspicious transactions. In the event that an account is closed by Beppo or at your request, even without completing the onboarding process or performing a transaction, records must be held as prescribed by law.

INTELLECTUAL PROPERTY RIGHTS

“Beppo” and all logos related to the Beppo Services and/or Beppo Services are either trademarks or registered marks of Beppo, their registered owners, or its licensors. The Trademarks and Material should not be copied, reproduced, modified, republished, uploaded, posted, transmitted, scraped, collected, or distributed in any form or by any means, whether manual or automated. The use of any such Materials on any other Site or networked computer environment for any other purpose is strictly prohibited; any such unauthorized use may violate copyright, trademark, and other applicable laws and could result in criminal or civil penalties.

DISPUTES

Indemnification. You agree to indemnify and hold Beppo, its parent, the officers, directors, agents, joint venturers, and employees harmless from any claim or demand (including attorneys’ fees) arising out of your breach of this Agreement or your use of Beppo Services.

Errors. In the event of an error, whether computer or human error, or whether via our Services, in a purchase order confirmation, in processing your purchase or payment, or otherwise, we reserve the right to correct such error and revise your payment transaction accordingly (including charging the correct price) or to cancel the purchase and refund any amount received.

Release of Beppo. If you have a dispute with one or more users, you release Beppo (and our parent, officers, directors, agents, joint ventures, employees, and suppliers) from any and all claims, demands, and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes. In addition, this release extends to claims that the creditor does not know or suspect to exist in his favor at the time of executing the release, which if not known by him must have materially affected his settlement with the debtor.

Disputes with Beppo. If you think we have made an error, email us at connect@beppo.com. In your correspondence, you must give us information sufficient to identify you, your account, and the transaction on which you believe an error occurred. You must contact us within thirty (30) days after the transaction occurred. Within thirty (30) days of receiving your request, we must either correct the error or explain to you why we believe the transaction was correct.

Service Level Commitment on Complaints and Disputes. Within fifteen (15) business days of our receipt of your complaint, a Customer Assistance Officer will address all points raised in your complaint by sending you an email (“Resolution Notice”) in which the Officer will: (i) offer to resolve your complaint in the way you requested; (ii) make a determination rejecting your complaint and set out the reasons for the rejection; or (iii) offer to resolve your complaint with an alternative solution. In exceptional circumstances, if the Officer is unable to respond to your complaint within 15 business days for reasons beyond Beppo’s control, the Officer will send you a holding reply indicating the reasons for the delay in answering your complaint and specifying the deadline by which the Officer will respond to your complaint (which will be no later than 30 days from our receipt of your complaint. Any offer of resolution made to you will only become binding on us if accepted by you. An offer of resolution will not constitute any admission by us of any wrongdoing or liability regarding the subject matter of the complaint.

GENERAL PROVISIONS

Limitations of Liability. IN NO EVENT SHALL WE, OUR PARENT COMPANIES, THE OFFICERS, DIRECTORS, AGENTS, JOINT VENTURERS, EMPLOYEES AND SUPPLIERS OF BEPPO OR OUR PARENT BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR WEBSITE, BEPPO SERVICES, OR THIS AGREEMENT (HOWEVER ARISING, INCLUDING NEGLIGENCE). OUR LIABILITY, AND THE LIABILITY OF OUR PARENT COMPANY, OFFICERS, DIRECTORS, AGENTS, JOINT VENTURERS, EMPLOYEES AND SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE ACTUAL AMOUNT OF DIRECT DAMAGES.

No Warranty. BEPPO SERVICES ARE PROVIDED “AS IS” AND WITHOUT ANY REPRESENTATION OF WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY. BEPPO, OUR PARENT, THE OFFICERS, DIRECTORS, AGENTS, JOINT VENTURERS, EMPLOYEES AND SUPPLIERS OF BEPPO OR OUR PARENT SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Beppo does not have any control over the products or services that are paid for with Beppo Services and Beppo cannot ensure that a buyer or a seller you are dealing with will actually complete the transaction or is authorized to do so. Beppo does not guarantee continuous, uninterrupted or secure access to any part of Beppo Services, and operation of our site may be interfered with by numerous factors outside of our control. Beppo will make reasonable efforts to ensure that requests for electronic debits and credits involving bank accounts and check issuances are processed in a timely manner but Beppo makes no representations or warranties regarding the amount of time needed to complete processing because Beppo Services are dependent upon many factors outside of our control, such as delays in the banking system.

Force Majeure. We shall not be liable for delays, failure in performance or interruption of Service which result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to, any delay or failure due to any act of God, act of civil or military authorities, acts of terrorists, civil disturbance, war, strike or other labor dispute, fire, interruption in telecommunications or Internet Services or network provider Services, failure of equipment and/or software, blockchain network congestion, contentious hard forks, catastrophic blockchain or smart contract code error and other catastrophes or any other occurrences which are beyond our reasonable control.

Dispute Resolution; Arbitration. All disputes, issues, controversies, or differences arising out of or in connection with this Agreement shall first be resolved amicably within thirty (30) calendar days after written notice thereof has been given by the complaining party to the counterparty. Disputes, controversies, or claims arising out of or in connection with this Agreement that is not resolved within 30 calendar days shall be referred to and settled by a tribunal comprised of one (1) arbitrator to be appointed by the Philippine Dispute Resolution Center, Inc. (PDRCI); The seat of arbitration will be Makati City, Philippines, the location determined by the PDRCI, the language of the arbitration will be English and the rules established by the PDRCI shall govern the process. The arbitration tribunal will have the right to issue injunctions and its decision will be compulsory, final, and strictly mandatory to the parties who in turn waive any other jurisdiction or venue that may apply and agree to be subject to the arbitral decision waiving any appeals of any type.

Time Limitation on Claims. You agree that any claim you may have arising out of or related to your relationship with Beppo must be filed within one (1) year after the date of the relevant transaction, whichever is earlier; otherwise, your claim is permanently barred.

Export Controls & Sanctions. Beppo Services are subject to the Philippines and international export controls and economic sanctions requirements. By availing of Beppo’s Services, you represent and warrant that you are not a resident of any of the restricted jurisdictions below. Without limiting the foregoing, you may not avail of any of the Beppo Services if: (1) you are in, under the control of, or a national or resident of Cuba, Iran, North Korea, Sudan or Syria or any other country subject to United States embargo, UN sanctions, HM Treasury’s financial sanctions regime, or if you, or your cryptocurrency wallet address, or the cryptocurrency wallet address of your intended recipient or the source of your cryptocurrency, are on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Commerce Department’s Denied Persons List, Unverified List, Entity List HM Treasury’s financial sanctions regime; or (2) you intend to supply the acquired digital currency or Beppo Services to Cuba, Iran, North Korea, Sudan or Syria or any other country subject to United States embargo or UN sanctions (or a national or resident of one of these countries), or to a person on the Specially Designated Nationals List, Denied Persons List, Unverified List, Entity List, or HM Treasury’s financial sanctions regime.

Choice of Law. This Agreement, and its application and interpretation, shall be governed exclusively by the laws of the Philippines, without regard to its conflict of law rules.
